01Definitions

In these Terms:

• “Nexus”, “we”, “us” — Nexus Logistics, Tashkent, General Uzokov street 62 (Gulzor intersection), Republic of Uzbekistan.
• “Customer”, “you” — the person or company ordering Services from Nexus.
• “Services” — freight forwarding, consolidation, customs brokerage, sourcing agency and related services described in Section 02.
• “Shipment” — the cargo accepted by Nexus under a single Booking.
• “Quote” — a price communicated by Nexus for a described Shipment; “Booking” — a Quote confirmed by both parties in writing (including email or Telegram).
• “Chargeable Weight” — the weight used for pricing, determined under Section 03.
• “Dangerous Goods” — cargo classified as dangerous under IATA DGR, ADR, RID or IMDG rules, including batteries, liquids, powders and aerosols.

02Scope of services

Nexus provides, as ordered per Booking:

• Freight forwarding — organising carriage by air, sea, rail and road between China and Uzbekistan, including warehousing and last-mile delivery;
• Consolidation — receiving cargo from multiple suppliers at our China warehouses and shipping it as consolidated freight;
• Customs brokerage — preparing and lodging export and import declarations, classification and document handling in both countries;
• Sourcing agency — supplier search and verification, purchase support, inspection and quality control in China.

Unless Nexus issues its own transport document, Nexus acts as a freight forwarder (agent) and contracts carriers on your behalf; carriage itself is performed by the carrier under its applicable conditions and conventions (CMR, SMGS, Montreal Convention, as relevant).

03Quotes & pricing

• Estimates are indicative. Prices produced by the online calculator or given before cargo details are confirmed are estimates, not offers. A manager confirms the final price before shipping, after checking the cargo type, packaging and customs fees.
• How the price is calculated. The price is calculated from the weight, volume and type of cargo; customs clearance and the dangerous-goods surcharge are added only when selected. The final price confirmed in writing by a manager in your Booking applies to that Shipment, provided the actual cargo matches the declared description, weight and dimensions; otherwise the manager re-confirms the price before shipping.
• Density rule. Cargo density is its gross weight divided by its volume. Lighter cargo is charged per cubic metre and denser cargo per kilogram, according to the density tiers in effect, unless the Quote states otherwise.
• Exclusions. Customs duties, taxes and fees levied by authorities are payable by you and are not included in the rate unless the Quote expressly says so.
• Currency. Invoices in UZS or USD; conversion at the Central Bank of Uzbekistan rate on the invoice date.

04Bookings & cancellation

• A Booking is formed when Nexus confirms your accepted Quote in writing. Quotes remain valid for 72 hours unless stated otherwise.
• You may cancel free of charge at any time before your cargo is accepted at our origin warehouse.
• After acceptance, cancellation is subject to costs already incurred (carrier charges, handling, documentation) plus a handling fee stated in the Quote.
• Cargo not collected or instructed within 5 calendar days of arrival notice incurs storage fees at the published warehouse tariff; cargo abandoned for 60 days may be disposed of to cover accrued charges.

05Prohibited & restricted cargo

We do not carry, under any circumstances:

• weapons, ammunition and dual-use goods without state licence; narcotics and precursors; counterfeit goods; cash and bearer instruments; perishables without prior arrangement; live animals; and any goods whose import or export is prohibited by the law of China or Uzbekistan.

Dangerous Goods are restricted: we accept them only with prior written approval issued before the cargo reaches our warehouse, correct DG documentation and packaging, and a +35% surcharge on the freight rate. Undeclared or misdeclared Dangerous Goods may be refused, quarantined or handed to the authorities; all resulting fines, costs and damages are borne by the Customer.

06Customer obligations

You are responsible for:

• Accurate declaration — a complete and truthful description of the cargo, its value, weight, dimensions and HS classification;
• Lawful goods — ensuring the goods may lawfully be exported from China and imported into Uzbekistan;
• Documents — providing commercial invoices, packing lists, contracts and certificates we request, in time for declaration;
• Packaging — export packaging adequate for international multimodal carriage, unless you order packing from us;
• Payment — settling invoices by their due date; we may hold cargo (lien) until outstanding amounts for that Customer are paid.

07Liability & insurance

• Unless cargo insurance is purchased, Nexus’s liability for loss of or damage to cargo is limited to USD 20 per kg of gross weight of the affected cargo, and in aggregate to USD 10,000 per Shipment.
• Where an international carriage convention (CMR, SMGS, Montreal) mandatorily applies, its limits apply instead.
• Cargo insurance covering the declared value can be purchased at booking; when purchased, claims are settled under the policy up to the insured value.
• We are not liable for indirect or consequential loss (lost profit, loss of market, contractual penalties) or for delay, unless a guaranteed transit time was expressly agreed in the Booking.
• We are not liable for loss caused by inherent vice of the goods, insufficient packaging, inaccurate declaration or acts of authorities.

08Claims

• Visible damage or shortage must be noted on the delivery document at the moment of delivery.
• All claims must be submitted in writing to info@nexuslogistics.uz within 14 days of delivery — or, for total loss, within 14 days of the scheduled delivery date — with photographs, the delivery note and the commercial invoice.
• Claims submitted after this window are deemed waived to the extent permitted by law. We acknowledge claims within 3 business days and aim to resolve them within 30 days.

09Force majeure

Neither party is liable for failure or delay caused by events beyond its reasonable control — including border closures, actions of customs or other authorities, epidemics, war, strikes, natural disasters, and carrier capacity withdrawal. The affected party must notify the other without undue delay; obligations are suspended for the duration of the event. If the event continues for more than 60 days, either party may cancel the affected Booking, with costs incurred up to cancellation settled pro rata.

10Governing law & disputes

These Terms and every Booking are governed by the law of the Republic of Uzbekistan. The parties will first attempt to resolve any dispute by negotiation within 30 days of written notice. Failing that, disputes are submitted to the competent courts of Tashkent, Republic of Uzbekistan.

11Changes to these terms

We may amend these Terms from time to time. The current version is published on this page with its “Last updated” date. Amendments apply to Bookings confirmed after the amendment takes effect; existing Bookings remain under the Terms in force when they were confirmed.
